We work closely with the promoters of the company that is looking to acquire, or be acquired. Our role is to act as the Transaction Advisor to the promoter and our core competency is to
1. Identify the right acquisition target or the JV partner
2. Value the target / joint venture
3. Structure the deal / joint venture
4. Negotiate to close
HOW WE DO IT?
Phase 1:
Study the acquirer's business model (in case of a buyout mandate)
Phase 2: Develop a target hunting strategy
Phase 3:
Identify a list of target companies through a strategic research
Phase 4:
Approach the target company with an offer (buyout) from the acquirer/ partner
Phase 5: Elicit sellout / JV interest
Phase 6:
Structure the deal with the appropriate model and financial instruments to meet the expectations of both the entities
Phase 7:
Conduct due diligence of the target
Phase 8:
Negotiate on behalf of the acquirer
Phase 9:
Finalize definitive agreements to close the deal
